This software can be installed and used on one physical machine. This is an upgrade-only license. Software under the qualifying OS license must already be installed on the device that will be assigned the upgrade. You must remove the existing qualifying OS from the device to install the upgrade license. Note: Windows XP Media Center Edition is also considered a qualifying OS although it is not specifically shown in the qualifying OS list linked above.
